 Master Sales Agreement


TERMS

  • Standard payment terms are credit card or T/T wire transfer prior to shipment on all orders.
  • COD cashiers check may be accepted on small domestic orders with prior approval.
  • Credit card payments are accepted through our online shopping cart for your convenience. 
  • Minimum wholesale order is $3,500.00 U.S. dollars.
  • Sales tax will always be added to taxable sale items unless you provide a completed California form "BOE 230" which specifies your valid Resale Certification. No exceptions can be made to any customer.
  • Freight will also be added to your order unless freight charges are clearly stated as "included" with your order.

RETURNS (RMA or Return Merchandise Authorization)

  • The ONLY returns accepted by Wholesale Server Components, Inc. are for defective products (see defective products below) and for same product exchange. No other returns will be processed without prior approval.  
  • Wholesale Server Components, Inc. will not reimburse for any shipping, insurance or C.O.D. charges.
  • If approved, all product returns must be sent back in original packaging. Damage to equipment due to poor packaging will be the sole responsibility of the customer that shipped it.
  • Defective Products. Returns must be preapproved in writing by Wholesale Server Components, Inc. by the assignment of an RMA number. All preapproved returns must be made within ten (10) days after receipt of the defective product. However, customers will have only five (5) business days to complete their RMA form online and submit same for approval or, their equipment will not be considered for return.
  • A return number (RMA or Return Merchandise Authorization) is required before shipping product back for exchange. This RMA number must be written on the outer packaging when shipped back and a copy of the RMA document must be included in the box with the equipment.
  • Restocking Fee. There will be a 25% restocking fee accessed to order returns where "no failure found" results upon receipt and subsequent testing and/or order cancellation in connection with international sourcing of goods. 
  • In the event that Wholesale Server Components, Inc. does not have a replacement product, Wholesale Server Components, Inc. will issue a credit for the original amount paid for the product.
  • As-Is Product. No returns are accepted on As-Is Products.

WARRANTY

  • New Products carry their manufacturer's warranty. Refurbished products have no warranty but instead, carry a month-to-month maintenance contract which is paid monthly and is included in your lease agreement. Batteries carry no warranty. Warranty is void if Factory labels are tampered with or removed.
  • Some products carry a "Guaranteed Working Upon Arrival" policy. Upon receipt of order to your location, you have five (5) days to verify the condition of product. If any unit(s) should arrive defective on arrival "DOA", please contact Wholesale Server Components, Inc. immediately to resolve the issue at (714) 660-2933.
  • As-Is. All products sold in "As-Is" condition carry no warranty.
  • Warranty is void if parts are switched or exchanged or if the system is taken apart. Also, we cannot warrant any system in which problems were caused by attempted software loading.

SHIPPING & EXPORT

  • Customers are responsible for all shipping charges. At the time of order placement, please identify shipping method desired. Unless specified, all orders are shipped FedEx Saver or UPS Ground and will be insured for the dollar value of the purchase. Your invoice will reflect all shipping charges. If freight is arranged by the customer, a packaging and handling charge may still be added to the invoice.
  • Customers agree to comply with all applicable state, national and international laws and regulations regarding export and or disposal of equipment purchased. Customer agrees not to unlawfully export, either directly or indirectly to any countries or persons that are subject to U.S. export restrictions or that are prohibited from participating in U.S. export transactions.
  • Distributor, reseller and system integrator customers agree to screen their customers to ensure that the equipment purchased will not be used or disposed of in any way that is considered prohibited. Moreover, customer agrees to be environmentally responsible in the way that it conducts its business affairs.
